The Securities Exchange Commission (SEC) adopted the Expert Market rules on March 8, 2021. The rules became effective on May 10, 2021. The rules allow broker-dealers to publish quotations for OTC securities that do not meet the full requirements of the SEC's Regulation NMS. Ironstone Properties (IRNS) chooses not to pay the costs for audited financials given the nature of investments in Ironstone and the difficulty of establishing fair market values of the holdings, thus discouraging the company's choice to list under NMS standards.
The amended rule requires broker dealers to have access to current and publicly available information about an issue before they can publish quotation for the issuer's securities. Different broker dealers may choose different ways to implement the rules but generally securities traded in the "Expert Market" are only available for "unsolicited" quotes. This means broker-dealers can only publish quotes for these securities if they are representing limit orders from retail and institutional investors who are NOT affiliates or insiders of the issues. The SEC has stated that the Expert Market is a temporary measure. The agency is still considering whether to make the Expert Market a permanent fixture of the OTC market.
